BY-LAWS OF THE RIVER RAISIN SPORTSMEN'S CLUB, INC
ARTICLE 1. NAME
River Raisin Sportsmen Club Inc.
ARTICLE 2. PURPOSE
The purpose of this non-profit organization shall be to conserve, restore, and manage the game, fish, and other wildlife and its habitat; to seek to procure better fishing and hunting for sportsmen; to promote and maintain friendly relations with landowners and sportsmen; to cooperate in obtaining proper respect for and observing of, the fish and game laws; to promote good and safe sportsmanship afield; and to pass on to our heirs, the joys and privileges of a better outdoors; and such other activities as the club desires.
ARTICLE 3. MEMBERSHIP
Shall be three (3) classes:
1. Stockholders who shall have all the voting power.
2. Annual non-stockholder members who shall have limited privileges.
3. Auxiliary members - all new members for a period of one (1) year or those only wishing to use shooting range facilities.
All members and new members shall be given a copy of the River Raisin Sportsmen Club bylaws. Also, a copy is to be posted on the Club bulletin board. Life members must be active members for a period of five (5) consecutive years. Life membership to be approved by a vote of the Board of Directors.
ARTICLE 4. MANAGEMENT
The club shall be managed by a board of directors (9) who are elected by the charter or stockholders of the club. Three are to be elected each year to fill the vacancy of the three who retire each year.
All lawful indebtedness incurred by the River Raisin Sportsmen Club is to be paid by check and all checks must be signed by the Secretary-Treasurer and President or Secretary-Treasurer and Vice President.
The President shall appoint an auditing committee of 3 members. It shall be the duty of this Committee to audit the books of the River Raisin Sportsmen Club during the month of May each year.
All important business shall be presented to the board and they in turn shall bring it on the floor at any regular or special meeting to be voted by the membership.
The board of directors shall also have the power that is given them by the laws of the non-profit corporation.
The officers of the board shall be elected by the directors, from the directors who shall carry on their duties for the Club during the year. There must be newly elected board officers by the directors each year.
The board of directors shall have the power to carry on all business for the club according to the Articles of Incorporation of the State of Michigan and to sign any and all corporation papers.
ARTICLE 5. AMENDMENTS
Amendments hereto may be made at the regular meeting, or at a meeting called for the purpose by a two-thirds vote of all the members present, provided written notice of the proposed.
Amendments shall be submitted to the board of directors and approved by a majority vote of the whole Board, and provided further that notice of the propose amendment shall be given to all voting members by the Secretary.
ARTICLE 6. MEMBERSHIP DUES
The River Raisin Sportsmen Club is empowered to fix the dues which members are required to pay periodically, as a condition of good standing. And to make rules necessary to enforce such requirement, including provisions for cancellation of membership for nonpayment of such dues and for reinstatement of such members.
A "New Membership Rate" will be required of all new members to acquire membership.
Failure to pay dues within 30 days after the due date will result in loss of membership.
ARTICLE 7. SALE AND LIMIT OF STOCK
The lowest denomination of shares that can be purchased is five (5) shares at $10.00 per share or $50.00
The highest denomination is twenty (20) shares at $10.00 a share or $200.00.
$200.00 of stock will entitle a member to life membership. Stock is transferable only by death or by a favorable vote by the Board of Directors.
At the close of the Charter Membership sales, the membership can be restricted and limited by a vote of the Club.
Each member or shareholder of this Corporation shall be of equal privilege with all other members or shareholders in his voice and vote.
ARTICLE 8. RULE VIOLATIONS
1) Destruction of RRSC property.
2) Careless use of RRSC facilities resulting in personal injury.
3) Violations of game laws, licenses for game law violations. and loss of hunting and fishing
Any or all of the above shall constitute revocation of RRSC membership and privileges for the period of license revocation, or a period set forth by the Board of Directors - within reason, or a period of time not to exceed three (3) years.
All of the above violations defeat the purpose of the RRSC Inc.
